Terms of Service

How ContrAPPtor is offered, what you agree to when you use it, and what each side is responsible for.

Effective and last updated: September 29, 2026

Welcome to ContrAPPtor. These Terms of Service ("Terms") are the agreement between you and ContrAPPtor LLC ("ContrAPPtor," "we," "us," "our") about how you and your team may use ContrAPPtor.

If you don't want to agree to these Terms, don't use ContrAPPtor. If you already have an account and don't want to agree to a change, stop using ContrAPPtor and cancel your workspace before the change takes effect.

These Terms work together with our Privacy Policy, which explains how we handle your information. Where these Terms and the Privacy Policy overlap, the Privacy Policy governs matters of data handling and privacy; these Terms govern the commercial and service relationship. In case of a direct conflict between the two on a specific matter, the Privacy Policy controls for privacy matters and these Terms control for everything else.

1. Who these Terms are between

These Terms are between ContrAPPtor LLC and the business that signs up for a workspace (the "Customer"). The person who creates the workspace is acting on behalf of that business and confirms they have authority to do so.

When these Terms say "you," we usually mean the Customer. In sections about individual conduct (Section 8) or the person signing up (Section 3), "you" means the individual using ContrAPPtor.

Each workspace has one Account Owner — the person we treat as authorized to make decisions about the workspace: billing, subscription changes, adding or removing team members, transferring ownership, and closing the workspace. The Account Owner is designated when the workspace is created and can be changed later using the ownership transfer flow. The Account Owner acts as an administrative representative of the Customer; assigning or transferring Account Ownership does not change who the Customer is under these Terms and does not create a personal obligation of the Account Owner to pay the Customer's fees, unless a separate written agreement says otherwise.

2. What ContrAPPtor is

ContrAPPtor is a software service that helps contracting businesses manage jobs, track work time and materials, coordinate a crew, and produce reports and invoicing information. We may add, change, or remove features. Some features may depend on third-party services (for example, messaging or maps providers).

3. Who can use ContrAPPtor

To create a workspace, be added to a workspace, or otherwise use ContrAPPtor, you must:

  • Be at least 18 years old, or the age of majority where you live if that age is older;
  • Have the legal authority to enter into these Terms on behalf of the Customer, if signing up for a business;
  • Not be barred from using ContrAPPtor under the laws that apply to you.

This age requirement applies to every user — Account Owners, admins, managers, crew, and viewers — without exception. It is your responsibility to confirm you meet this requirement before creating or using an account, and, if you invite people into your workspace, to confirm they meet it before inviting them. By creating, being added to, or using an account, you represent that you meet this requirement; we rely on that representation.

We may refuse to create or continue an account at our discretion, including if we believe the requirements above aren't met.

4. Your workspace, your data, your people

When you sign up, you create a workspace for your business. Everyone you invite (crew, managers, admins, viewers) uses ContrAPPtor inside that workspace.

You control your team. You decide who to invite, what role each person has, and when to remove someone. You're responsible for making sure the people in your workspace understand their obligations — for example, that job details, customer information, and material costs should be kept confidential.

You control your data. As between the Customer and us, the Customer retains its rights in job records, work logs, materials, photos, notes, sites, customer contacts, and other submitted content, subject to the rights of individuals and third parties. We store and process it on your behalf so ContrAPPtor works. Details on how we store, process, protect, back up, and (on request) delete your data are in our Privacy Policy; those provisions apply to this Section as well.

Account Owner responsibility. The Account Owner is the person we contact for billing, security, and workspace-level decisions. Keep the Account Owner's email address current — we rely on it for critical notices. If the Account Owner leaves the business, use the ownership transfer flow to designate someone else before they lose access to that email. Assigning or transferring Account Ownership is an internal administrative matter for the Customer; it does not change who the Customer is under these Terms.

Team-member accounts. People you invite have their own individual login. The Customer must ensure invited users are informed of and comply with these Terms; any required acceptance is obtained through the applicable onboarding process. They keep control of their own login credentials; the Customer is responsible for what happens inside its workspace through those accounts, but individual credentials belong to the individual.

5. Free trial

New workspaces are offered a 14-day free trial. No payment method is required to start the trial. Before the trial ends, we will notify you in the application; to continue using paid features after the trial you will need to add a payment method and select a plan.

During the trial you have access to the features included with the trial plan. The trial begins when your workspace is approved and access is made available, and ends 14 days later. The applicable dates are shown in the application or your approval notice.

Trial expiration is distinct from the post-paid-subscription lifecycle described in Section 7. At trial expiration, if no paid subscription is in place, the workspace enters the post-cancellation lifecycle described in Section 7, except that if we offer an available free plan at that time (see Section 6), the Account Owner may instead select that free plan and continue.

Trials are offered at our discretion, are not transferable, and are limited to one per business. We may modify or discontinue the trial program prospectively; a change to the trial program does not affect a trial already in progress.

6. Subscriptions, plans, and billing

Plans. ContrAPPtor is offered on subscription plans. Each plan describes what it includes (features, seat limits, storage, message allowances, and other entitlements) and its price. Available plans, their prices, and their entitlements are disclosed before you subscribe. Planned features and billing controls apply only when made available; publishing these Terms does not activate them. We may offer a free plan; whether a free plan is available at any given time is shown in the application. Plans and prices may change; see "Changes to plans and prices" below.

Payment. When paid plans are offered and you select and activate one, you provide a valid payment method. You authorize us to charge that payment method for the plan you selected, on the schedule shown at checkout, including applicable taxes.

Auto-renewal. Once a paid subscription is active, it renews automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date. If you do not want to renew, cancel before the renewal date.

Late or failed payments. If a scheduled charge fails, we will provide a full seven-day retry period and notify the Account Owner by email during that period. If payment still has not succeeded at the end of that seven-day period, the subscription will lapse and the workspace will enter the post-cancellation lifecycle described in Section 7.

Taxes. Prices don't include sales tax, VAT, or similar taxes unless we say so. You're responsible for any such taxes on your subscription.

Changes to plans and prices. We may change plans, plan contents, and prices. We'll give you at least 30 days' notice by email before a price change takes effect on your subscription. The changed price applies at your next renewal after the notice period, subject to any consent or authorization required by law; if you don't accept, cancel before the change takes effect.

Upgrades and downgrades. When plan-change controls are available in the application, they will be described there, including how any pro-rating or timing works. Until those controls are available, please contact us at info@contrapptor.com to request a plan change.

Discontinuation of a paid feature or plan. If we discontinue a paid feature or an entire plan you are currently paying for, and no equivalent replacement is provided, we will refund the unused portion of what you have prepaid for that feature or plan on a pro-rated basis.

7. Cancellation, refunds, and what happens to your data

Cancellation by you. You can cancel your paid subscription at any time by contacting us at info@contrapptor.com from the Account Owner's email address on file. When in-application cancellation controls are available, they will be described in the application. When you cancel:

  • Your subscription remains active through the end of the current billing period you've already paid for (the "paid-through date").
  • Except as required by applicable law, or as described under "Discontinuation of a paid feature or plan" in Section 6, fees already paid are not refunded, and monthly charges are not pro-rated for the partial month.
  • Auto-renewal is turned off at cancellation.

Post-paid-through window. After the paid-through date (or after a subscription lapses because of a failed-payment situation described in Section 6):

  • Your workspace remains accessible in a read-only state for 30 days, so you can log in, review your records, and export your data.
  • During those 30 days, you can also reactivate the subscription by adding a valid payment method and selecting a plan; if you do, service continues without interruption to the workspace or its data.
  • Exception: if a free plan is available at that time, the Account Owner may select the free plan during the 30-day window and continue using ContrAPPtor on that plan instead of losing access. The free plan may have different feature limits than the paid plan you were on.

Export. You can export your data at any time — during an active subscription, during the free trial, and during the 30-day read-only window after cancellation. Export is available through the export tools inside ContrAPPtor, and, for kinds of data or roles that don't have an in-application export path, by request to info@contrapptor.com from the Account Owner's email address on file. The export tools inside the application are permission-scoped: not every role can export every kind of data, and financial detail may be limited for non-admin roles. If your role does not have access to a particular export you need, ask the Account Owner or an admin, or contact us.

Deletion after the window. After the 30-day read-only window ends, the workspace and its data are scheduled for deletion. Deletion — including how residual copies in backups are handled and how long backups are retained — is governed by our Privacy Policy.

Free-workspace inactivity. Free-plan workspaces are subject to inactivity notices and eventual deprovisioning. The Account Owner will receive advance notices in the application and by email before any deprovisioning takes effect, in accordance with the notice schedule described in the Privacy Policy.

Deletion at your request. The Account Owner may request deletion of the workspace at any time by contacting us at info@contrapptor.com from the email address on file. Once we confirm the request and its consequences, we will disable ordinary access and delete the workspace’s live data within 30 days. Handling of residual copies in backups, and any limited retention permitted for legal or security purposes, is governed by our Privacy Policy and remains subject to its timelines and exceptions, including any shorter legally required deadline.

Cancellation by us. We may cancel or suspend a subscription under Section 13.

8. Acceptable use

You agree not to use ContrAPPtor to:

  • Break the law, or help anyone else break the law.
  • Enter or upload data that you don't have the right to enter or upload.
  • Enter or upload material that is defamatory, harassing, obscene, or that infringes someone else's rights (copyright, trademark, privacy, and so on).
  • Reverse-engineer, decompile, scrape, or otherwise copy ContrAPPtor's software or interface, except to the extent applicable law expressly allows and cannot be waived.
  • Interfere with, overload, or attack the service — for example by running penetration tests without our written permission, sending spam, uploading malware, or trying to break authentication or access controls.
  • Attempt to access another business's workspace or another user's data.
  • Use ContrAPPtor to send unsolicited messages, or to send messages to recipients who haven't given the consent required by law and by our Privacy Policy. SMS enrollment requires the separate affirmative opt-in described in the Privacy Policy. Any other messaging feature must meet its applicable recipient-consent requirements before use.
  • Use ContrAPPtor to build a competing product or service, or to benchmark it for the purpose of building one.

You're also responsible for the conduct of everyone in your workspace. If a person in your workspace violates these Terms, we may treat that as a violation by the Customer.

9. Beta features and previews

From time to time we make new features available for testing before they're generally released. We may label these as beta, preview, early access, experimental, or similar. Beta features:

  • May not work as well as generally-released features;
  • May be added, changed, or removed without notice;
  • May not be covered by any service-level commitment;
  • Are offered without warranty of any kind beyond what applicable law requires.

You may choose whether to use beta features. Privacy and security protections in these Terms and in the Privacy Policy apply to beta features just as they do to generally-released features. If we ask for feedback on a beta feature, and you give it, you agree we can use that feedback to improve ContrAPPtor without owing you anything for it — but we won't identify you as the source without your permission.

10. Data and content

Your content. You keep ownership of the data you enter into ContrAPPtor. To operate the service you grant us a limited license to host, copy, process, transmit, back up, and display your data for the purpose of providing ContrAPPtor to you. This license lasts as long as you keep your data in ContrAPPtor, plus the period during which we're required or permitted to retain it under the Privacy Policy (for example, backups). The license ends when the data is deleted in accordance with the Privacy Policy.

Deidentified and aggregated data. As described in the Privacy Policy, we may use aggregated and deidentified data (data that no longer identifies you, your business, or an individual) to improve, secure, and analyze the service, and to develop new features. The rules for how that deidentified data is produced and used are set out in the Privacy Policy.

Research program. The Privacy Policy describes how eligible workspaces may participate in a research program, including how paid and free workspaces are treated, and how the Account Owner can opt out. Those provisions apply as written; these Terms do not add to or subtract from them.

Feedback. If you send us ideas, suggestions, or feedback about ContrAPPtor, we can use that feedback in the product and in future products without owing you anything.

Our software and content. ContrAPPtor, including its software, design, branding, and documentation, belongs to us (or the people we license it from). Nothing in these Terms transfers ownership of our software or brand to you. You get a right to use ContrAPPtor while you have active access under these Terms — including during a free trial, an available free plan, an active paid subscription, and the post-cancellation read-only and export window described in Section 7 — and provided you are following these Terms.

11. Third-party services

ContrAPPtor may integrate with third-party services — for example, messaging providers, maps, payment processors, or the underlying application-hosting platform. Your use of those third-party services may be subject to their own terms and privacy policies. We're not responsible for those third-party services or their content. If a third-party service becomes unavailable, changes how it works, or changes its pricing, that may affect the corresponding ContrAPPtor feature.

Third-party integrations do not change the privacy and security commitments in these Terms or in the Privacy Policy. Where an integration involves sharing your data with a third party, we handle that sharing in accordance with the Privacy Policy.

We are responsible for making the arrangements needed to run ContrAPPtor on the application-hosting platform we've chosen (including account, deployment, and platform limits). If we change platforms in the future, we'll do so in a way that preserves your access to the service and to your data, consistent with these Terms and the Privacy Policy.

12. Service availability

We aim to keep ContrAPPtor available and working well. We don't promise it will be uninterrupted or error-free. From time to time ContrAPPtor may be unavailable for maintenance, updates, or reasons outside our control (for example, a problem with a hosting provider, network, or third-party service).

Our security, backup, and data-protection practices are described in the Privacy Policy. Nothing in this Section reduces those commitments.

If we introduce a formal service-level agreement in the future, it will be published in the application and take precedence over this Section for the plans it applies to.

13. Suspension and termination

We may suspend or terminate your access to ContrAPPtor, in whole or in part, if:

  • You violate these Terms, including the Acceptable Use section (Section 8);
  • Your account is materially past due on payment beyond the 7-day retry period described in Section 6;
  • We reasonably believe your account is being used for fraud, abuse, or a security risk to us or to others;
  • We're required to do so by law or by a court, regulator, or law-enforcement authority; or
  • Continuing to provide the service to you would expose us to legal, financial, or security risk that we can't reasonably mitigate.

Where practical and appropriate we'll give you notice and a chance to correct the problem before suspending. In urgent cases (for example, an active security threat) we may suspend first and notify you as soon as we can.

Effect of termination. If we terminate your account for cause under this Section, the post-paid-through window and export rights in Section 7 may be shortened or unavailable in an emergency, but we will make reasonable efforts to let you export your data before deletion unless doing so would create a legal or security risk.

Sections that by their nature should survive termination — including sections about your data (Section 10), disclaimers and limits (Sections 14–16), governing law and disputes (Section 17), and general terms (Section 20) — survive.

14. Warranty disclaimer

ContrAPPtor is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We don't warrant that ContrAPPtor will meet your requirements, be uninterrupted, be secure against every possible attack, be free of errors or bugs, or that any defect will be corrected. You use ContrAPPtor at your own risk, including for decisions you make based on data in the application.

Some jurisdictions don't allow the exclusion of certain warranties. If that applies to you, the excluded warranties still apply to the minimum extent required by law and no further.

15. Limitation of liability

To the fullest extent allowed by law:

  • Neither we nor our owners, employees, contractors, or service providers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or related to ContrAPPtor or these Terms, even if we've been advised of the possibility of those damages.
  • Our total aggregate liability to you for all claims arising out of or related to ContrAPPtor or these Terms, in any 12-month period, is capped at the greater of (a) the fees you actually paid us for ContrAPPtor in the 12 months before the claim arose, or (b) US$100.
  • These limits apply regardless of the legal theory (contract, tort, statute, or otherwise) and apply even if a remedy fails of its essential purpose.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including (where applicable) liability for fraud, willful misconduct, gross negligence, personal injury or death, or any other liability that cannot be limited under the law that governs these Terms or the law of the place where you live.

16. Indemnification

You agree to defend, indemnify, and hold harmless ContrAPPtor LLC and its owners, employees, and contractors from and against any third-party claims, damages, and costs (including reasonable attorneys' fees) that arise from:

  • Your (or your team's) violation of these Terms;
  • Your (or your team's) violation of applicable law;
  • Content or data you enter into ContrAPPtor, including claims that it infringes someone else's rights or violates their privacy;
  • Messages sent to recipients from your workspace without the consent required by law and by our Privacy Policy;
  • Disputes between you and your customers, employees, contractors, or crew members that relate to the work managed in ContrAPPtor.

This indemnity does not apply to the extent a claim is caused by our own negligence, willful misconduct, or breach of these Terms.

We'll notify you of any claim we're seeking indemnification for, and give you a reasonable chance to control the defense. We can participate in the defense at our own expense.

17. Governing law and disputes

These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-law rules. Any lawsuit or other dispute relating to ContrAPPtor or these Terms will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you and we each consent to the personal jurisdiction of those courts.

Small-claims exception. Either of us may bring an individual action in a small-claims court of competent jurisdiction where allowed by that court's rules.

Preserved rights. Nothing in this Section limits or waives any right or remedy that cannot be limited or waived under applicable law, including any right to bring or participate in a proceeding that applicable law makes non-waivable. Either of us may also seek urgent injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

18. Changes to these Terms

We may update these Terms. When we make a material change, we'll notify the Account Owner by email at least 30 days before it takes effect. Non-material changes (for example, fixing a typo, updating a link, or clarifying wording without changing meaning) take effect when we post them.

The most current version of the Terms is always available at https://contrapptor.com/terms/. Continuing to use ContrAPPtor after a change takes effect means you accept the change to the extent permitted by law. Continued use or acknowledgment does not replace any separate consent or authorization required by law, including for optional processing or messaging. If you don't accept a change, cancel your workspace before it takes effect.

19. Notices

Notices from us to you. We send notices to the email address of the Account Owner on file, and by posting in the application. It's the Customer's responsibility to keep that email address current.

Notices from you to us. All notices to us under these Terms — including questions about these Terms, cancellation requests, deletion requests, export requests, and any other communication about your account — should be sent to info@contrapptor.com. Please send from the Account Owner's email address on file when the notice concerns account, subscription, or deletion matters.

Service of legal process. Service of a summons, complaint, subpoena, or other legal process must be made in accordance with applicable law and these Terms do not authorize email service or override any method of service permitted or required by applicable law. To request current instructions for service of process, contact info@contrapptor.com.

20. General

Entire agreement. These Terms, together with the Privacy Policy and any plan- or feature-specific terms shown in the application, are the entire agreement between you and us about ContrAPPtor. They replace any earlier agreement or discussion on the same subject.

Order of precedence. If a term shown in the application at sign-up or at check-out (for example, a plan description, a promotional term, or a feature-specific limit) conflicts with these Terms on a specific point, the in-application term controls for that point, so long as it doesn't reduce a right that the Privacy Policy preserves for you.

No waiver. If we don't enforce a right under these Terms right away, that's not a waiver of the right.

Severability. If any part of these Terms is held unenforceable, the rest stays in effect, and the unenforceable part is reformed to the minimum extent needed to make it enforceable.

Assignment. You can't assign or transfer these Terms without our written consent. We may assign these Terms as part of a corporate change (for example, a sale, merger, or reorganization) on notice to you.

No third-party beneficiaries. These Terms don't create rights for anyone who isn't a party to them.

Force majeure. Neither of us is liable for a delay or failure caused by circumstances outside our reasonable control — for example, a natural disaster, act of government, war, terrorism, labor dispute, internet outage, or failure of a third-party service.

Relationship. These Terms don't create a partnership, joint venture, employment, or agency relationship between you and us.

Contact. For any question or notice about these Terms, or about your account, contact info@contrapptor.com.

By using ContrAPPtor, you confirm you've read these Terms, you understand them, and you agree to be bound by them.
